Why does a company increase its authorised capital?
A company increases its authorised capital to create enough legal room before issuing new shares to investors, promoters, or employees.

No. Increasing authorised capital only raises the maximum share limits permitted under the Memorandum capital clause. A separate allotment process is required to actually issue shares.
